Terms of Service

Effective Date: January 29, 2026

These Terms of Service ("Terms") govern your engagement with Paragon Labs ("we," "our," or "us") for fractional GTM engineering services.

1. Services

We provide fractional revenue operations and technical engineering services on a monthly retainer basis. Specific scope, deliverables, and hours are defined in individual engagement agreements or statements of work.

2. Engagement Structure

  • Starter Package: 20 hours/month at $2,500/month
  • Growth Package: 40 hours/month at $5,000/month
  • Pro Package: Custom hours and pricing based on client needs

All packages are billed monthly in advance. Unused hours do not roll over to subsequent months unless otherwise agreed in writing. Any hours worked beyond the monthly allocation will be tracked and billed in the following month's invoice at the standard hourly rate of $125/hour. Client will be notified when approaching their monthly hour limit.

3. Payment Terms

Payment is due within 7 days of invoice date. Late payments may result in suspension of services. We accept payment via ACH or wire transfer. Client is responsible for any transaction fees imposed by payment processors.

4. Engagement Period and Cancellation

Engagements are month-to-month unless otherwise specified. Either party may terminate the engagement with 30 days' written notice. Client remains responsible for payment of services rendered through the notice period. No refunds for partial months.

5. Intellectual Property

All deliverables created specifically for Client (custom code, configurations, documentation) become Client's property upon full payment. We retain the right to reuse general methodologies, frameworks, and non-client-specific tools developed during the engagement.

6. Client Responsibilities

Client agrees to provide timely access to necessary systems, documentation, and stakeholders. Delays caused by Client unavailability or lack of access may impact project timelines and do not constitute grounds for refund.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives termination of the agreement.

8. Limitation of Liability

Our total liability for any claim arising from services provided shall not exceed the total fees paid by Client in the three months prior to the claim. We are not liable for indirect, incidental, or consequential damages including lost profits or business interruption.

9. Warranties and Disclaimers

We will perform services in a professional and workmanlike manner. However, we make no guarantees regarding specific business outcomes, revenue increases, or system performance. Services are provided "as is" without warranty of any kind.

10. Indemnification

Client agrees to indemnify and hold us harmless from any claims arising from Client's use of deliverables, Client's systems, or Client's business operations.

11. Modifications

We reserve the right to modify these Terms at any time. Continued engagement after changes constitutes acceptance of modified Terms.

12. Entire Agreement

These Terms, together with any signed engagement agreements or statements of work, constitute the entire agreement between the parties.
